Terms of Use

1. Acceptance of Terms

By accessing the website at talnir.eu and utilizing the managed email deliverability infrastructure services provided by Talnir ("we," "us," or "our"), you agree to be bound by these Terms of Use and all applicable laws and regulations. You are responsible for compliance with any applicable local laws, including Romanian and European Union regulations.

Talnir operates under the PFA (sole proprietorship) PETRUNEAC BOGDAN-ȘTEFAN PERSOANĂ FIZICĂ AUTORIZATĂ, CUI 49393816, registered in Romania.

2. Description of Services

Talnir provides managed email deliverability infrastructure, which includes server setup, DNS configuration, IP and domain authority monitoring across blacklists, inbox placement analysis, and ongoing deliverability optimization for Business-to-Business (B2B) communications.

3. Client Obligations and Acceptable Use

You agree to use our services exclusively for legitimate, legal business purposes and to comply with all applicable anti-spam and data protection laws, including the GDPR. Specifically, you agree NOT to:

Transmit any material that is unlawful, offensive, deceptive, or otherwise prohibited by EU or Romanian law.
Use the service to distribute malware, phishing campaigns, or fraudulent communications.
Send unsolicited emails (spam) in violation of applicable direct marketing regulations.
Intentionally bypass or compromise the security controls implemented by Talnir.

Violation of this section constitutes grounds for immediate termination under Section 9.

4. Infrastructure Ownership

The Virtual Private Servers (VPS) and domain names utilized for your email operations are registered to or explicitly owned by you. Talnir operates as a technical manager with administrative access to maintain the infrastructure on your behalf. You retain full ownership and control of all infrastructure assets at all times.

5. Confidentiality

Talnir acknowledges that, in the course of providing services, it may have access to your technical infrastructure, configuration data, sending metrics, and related business information. Talnir agrees to:

Keep all such information strictly confidential.
Not disclose, share, or use client data for any purpose other than delivering the contracted services.
Implement reasonable technical measures to prevent unauthorized access to client systems.

This obligation survives the termination of the service agreement.

6. Service Level and Security (NIS2 Compliance)

We are dedicated to maintaining a high level of security across all managed infrastructure. Operations are designed with reference to industry best practices and the principles of the EU NIS2 Directive (Directive on measures for a high common level of cybersecurity). We implement appropriate administrative, technical, and physical safeguards appropriate to the risk profile of network and information systems under our management.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Talnir shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

(i) Your access to or inability to access or use the service;
(ii) Any conduct or content of third parties in connection with the service;
(iii) Deliverability outcomes, blacklistings, or domain reputation degradation resulting from the quality of the client's outreach list, message content, or sending behavior outside of Talnir's control.

Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

8. Payment, Cancellation, and Refunds

Fees are billed on a monthly basis according to your selected plan. The following terms apply:

Cancellation: You may cancel at any time with at least 7 days' written notice prior to your next billing cycle. Notice must be sent to billing@talnir.eu.
No pro-rata refunds: Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused days within a paid month.
Setup fees: One-time setup fees are non-refundable once infrastructure provisioning has commenced.
Late payment: We reserve the right to suspend services for accounts with outstanding balances beyond 14 days past the due date.

9. Termination

By the client: You may terminate your subscription at any time in accordance with Section 8. Upon termination, Talnir will provide reasonable assistance in transferring administrative access back to you within 5 business days.

By Talnir: We reserve the right to suspend or terminate your access immediately and without prior notice in cases of confirmed abusive sending practices, illegal activity, or material breach of these Terms. In all other cases, we will provide at least 14 days' written notice of termination.

Upon termination for any reason, Talnir's confidentiality obligations (Section 5) remain in effect.

10. Force Majeure

Neither party shall be held liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to: acts of God, natural disasters, internet infrastructure failures, actions of third-party hosting providers, cyberattacks, government actions, or other events outside the affected party's reasonable control.

The affected party shall notify the other party as soon as reasonably practicable and take all reasonable steps to minimize the impact of the event.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Romania. Any dispute arising out of or relating to these Terms or the use of our services shall be subject to the exclusive jurisdiction of the competent courts in Romania.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated at least 14 days before taking effect, via email to the address associated with your account. By continuing to use our services after revisions become effective, you agree to be bound by the updated Terms.
